Terms of Service
1. Who we are
“Kovion Holdings”, “Kovion”, “we” and “us” mean the unincorporated business trading internationally under the name Kovion Holdings, run by Amad Mohammed Zulfiqar and Syed Daniyal Ali. Kovion Holdings is not a registered company. The legal status page explains what that means. “You” means the person or organisation using this website or engaging us.
2. Using this website
- You may browse, read and share links to this website for any lawful purpose.
- Don't try to disrupt it, break its security, scrape it at a volume that affects other visitors, or probe it for vulnerabilities without our written permission. If you find a security problem, please tell us at hello@kovionholdings.com.
- Don't use our contact or bug-report forms to send spam, malware or abuse. We may block anyone who does.
- Articles and examples on this site are general information, not professional advice for your situation. We try to keep them accurate, but we can't promise they are complete or up to date.
- The site's text, design, the Kovion name and logo belong to us. Please don't reuse them in a way that suggests you are us or that we endorse you.
3. Working with us
Every project starts with a written proposal. It sets out the scope, price, timeline and anything specific to your project. When you accept a proposal (in writing, by email is fine) a contract is formed between you and the people named in it, trading as Kovion Holdings. That contract is made up of the proposal and these terms. If they conflict, the proposal wins.
3.1 Fees and payment
- Prices are as stated in your proposal: a fixed price, a day rate, or a monthly retainer.
- We may ask for a deposit before work starts. Deposits cover time we reserve for you and are non-refundable once that time has been used.
- Invoices are due within 14 days unless your proposal says otherwise.
- If an invoice is significantly overdue, we may pause work until it is paid. We'll always tell you before we do.
- Third-party costs such as hosting, domains, paid APIs and app store fees are yours unless the proposal says we cover them. We'll ask before taking any of them on for you.
3.2 Changes to scope
Ideas change once you see them working. That's normal. If you want something outside the agreed scope, we'll tell you what it does to the price and timeline, and nothing changes until you agree in writing.
3.3 What we need from you
- Timely answers, feedback and access to the accounts, content and people we need.
- Confirmation that you have the right to give us any material you supply (logos, text, data, images) and that using it won't break the law or anyone else's rights.
- Responsibility for how the finished product is used, and for your own legal obligations to your users, such as your privacy policy and terms.
If we are held up waiting on any of these, timelines move by the same amount.
3.4 Who owns the work
- Your bespoke work becomes yours. Once you have paid in full, all intellectual property in the code, designs and content we create specifically for you is assigned to you.
- Our existing tools stay ours. We often reuse general-purpose code, components and know-how we already had. We keep ownership of these, and you receive a permanent, worldwide, royalty-free licence to use them as part of your product.
- Open-source software is used under its own licence. We'll tell you if anything we use has licence terms that could affect you.
- Showing the work. We may mention that we worked with you and show the work in our portfolio after launch, unless you ask us not to or the work is confidential.
3.5 Confidentiality
Your idea, business information and anything you mark as confidential stays confidential. We only share it with people working on your project who need it, and they are bound by the same duty. This continues after the project ends. It doesn't cover information that is already public or that we already knew. We're happy to sign a separate NDA if you prefer.
3.6 Quality and fixes
We do the work with reasonable skill and care. If something we delivered doesn't work as agreed and you tell us within 30 days of delivery, we'll fix it at no extra cost. That doesn't cover problems caused by changes someone else made, third-party services, or new requirements.
3.7 Ending a project
- Either of us may end the contract with 14 days' written notice.
- Either of us may end it straight away if the other seriously breaks these terms and doesn't put it right within 14 days of being asked.
- If the contract ends, you pay for work done up to that point. On payment, you receive everything completed so far, with the same ownership rights as above.
4. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that can't legally be limited.
Otherwise, we are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability under any project contract is limited to the fees you paid us under that contract in the 12 months before the claim. For use of this website, which is free, we are not liable for any loss except where the law says we must be.
If you are a consumer, rather than a business, you have legal rights that these terms do not affect.
5. Our own products
Products we build and run ourselves, such as Party Room, have their own terms and privacy policy, which apply when you use them. These terms only cover this website and client projects.
6. If our status changes
We plan to incorporate as a private limited company. When that happens, we may transfer our rights and obligations under an ongoing agreement to that company. We will give you at least 30 days' written notice first, and the protections you have under these terms will stay the same. If you'd rather not continue with the new company, you can end the agreement before the transfer under section 3.7.
7. Everything else
- Neither of us is responsible for delays caused by events genuinely outside our control.
- If any part of these terms turns out to be unenforceable, the rest still applies.
- These terms are governed by the laws of England and Wales, unless your proposal says otherwise. We will always try to sort out a disagreement by talking first.
- We may update these terms. The version that applies to a project is the one in force when you accepted its proposal.
